Terms of Business

These Terms of Business govern the relationship between Alexander & Edmond Law Services and client organisations. Specific terms, scopes, and fee arrangements will be detailed in individual Client Engagement Letters before we commence any active casework.

1. Engagement & Scope

We provide employment law advice, practical HR support, and workplace mediation services. The specific scope of our advisory services, including target delivery dates and key personnel involved, will be set out in a written Engagement Letter. No legal or consulting services will be rendered until both parties sign this letter.

2. Fees & Billing

Our fees are structured based on the service model selected:

  • **Retained HR Support**: Billed monthly in advance as a recurring subscription fee, as outlined in your SLA.
  • **Ad-hoc HR Support**: Billed as a fixed project fee (50% upfront, 50% upon delivery) or at agreed hourly rates, billed monthly in arrears.
  • **Workplace Mediation**: Billed as a flat day-rate or half-day rate, payable prior to the mediation session.

Invoices are payable within 14 days of issue unless otherwise agreed in writing. We reserve the right to suspend advisory services if accounts remain unpaid beyond this period.

3. Confidentiality & Data Protection

We maintain strict confidentiality regarding all aspects of our clients' business operations, employee files, and legal matters. We handle all personal data in compliance with the UK GDPR and our privacy notice. Client records are stored securely and accessed only by personnel authorized to handle the specific engagement.

4. Conflict of Interest

Before accepting a new client or specific ad-hoc matter, we perform a conflict-of-interest check. If we discover a potential conflict of interest (for example, if we have recently mediated for the opposing party in a dispute), we will disclose it immediately and, where appropriate, decline the engagement.

5. Limitation of Liability

Our liability for any claims arising out of or in connection with our services, whether in contract, tort, or breach of statutory duty, will be limited to the total fees paid by the client organisation under the specific engagement letter during the 12 months preceding the claim. We hold full professional indemnity insurance.

6. Governing Law

These Terms of Business and any dispute or claim arising out of or in connection with them will be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction to settle any disputes.
